The Supervisory Board of MIRBUD

Graduated from the College of Economics and Humane Studies in Skierniewice, Faculty of Administrative Studies, majoring in Public Administration, and the Higher School of National Economy in Kutno, Faculty of European Studies, majoring in International Relations and Diplomacy, the Common Foreign and Security Policy of the European Union. He has over 30 years of practical experience in the fields of economics and finance and business management. He has an extensive practical experience in managing complex business projects, and for many years, he has been a member of supervisory boards, including the 2nd and 3rd terms of the Regional Fund for Environmental Protection and Water Management in Łódź. He was also a member of the Board of the Łódzkie Regional Branch of the National Health Fund in Łódź. In addition, he was a member and the Chairman of the Supervisory Board of a public limited liability company listed on the Warsaw Stock Exchange and the Chairman of the Supervisory Board of Sadowniczy Zakład Doświadczalny IO - Spółka z o.o. in Brzezna during the implementation of the company’s restructuring and financial standing stabilization plan. Mr. Wiesław Kosonóg was also a member of the Regional Assembly of the Łódzkie Voivodeship of the second term, the Deputy Chairman of the Audit Committee, and the Deputy Chairman of the Foreign Cooperation Committee. Recently, he has worked as the President and the sole member of the Management Board of Kwiaciarski Zakład Doświadczalny IO - Nowy Dwór Spółka z o.o.

Mr. Wiesław Kosonóg does not conduct any activities that are competitive to MIRBUD S.A. with a registered office in Skierniewice, participate in a competitive company as a partner in a civil law partnership, partnership or as a member of a body in a company, or participate in other competitive legal persons as a member of its body. Mr. Wiesław Kosonóg is not entered into the Individual Insolvency Register maintained pursuant to the Act on the National Court Register.
 

Mr. Radosław Niewiadomski has a university degree in economy – he graduated from the University of Łódź, Faculty of Economics and Sociology, majoring in Economics and Organisation of Industry, with the degree of Master of Economics. He has over 30 years of experience in finance and banking and has completed numerous training courses and workshops in the area. He gained and increased his professional experience as, among others, the Director or Deputy Director of Branches of Pekao S.A. and Kredyt Bank S.A., as well as the Inspector in the Finance Department of the Łowicz County Starosty. Currently, Mr. Radosław Niewiadomski is a member of the Supervisory Board of a subsidiary, JHM DEVELOPMENT.

According to the submitted declarations, Mr. Radosław Niewiadomski:

  • has full legal capacity, as referred to in Article 18 § 1 of the Commercial Companies Code;
  • has not been validly convicted of offences specified in Chapters XXXIII to XXXVII of the Penal Code and in Articles 585, 587, 590 and 591 of the Act, as referred to in Article 18 § 2 of the Commercial Companies Code;
  •  is not subject to the obstacles as set out in Articles 4 and 7 in conjunction with Articles 1 and 2 of the Act of 21 August 1997 on the Limitation of Conducting Business Activity by Persons Holding Public Functions;
  • does not carry out activities competitive to the business of MIRBUD S.A. with its registered office in Skierniewice, does not participate in a competitive company as a partner in a civil partnership, a partnership or a capital company, and does not participate in another competitive legal person as a member of its body. 

Mr. Radosław Niewiadomski is not listed in the Register of Insolvent Debtors kept on the basis of the National Court Register Act.

Mr. Artur Sociński graduated from the Higher School of Insurance and Banking, completed Executive MBA studies at the Institute of Economics of the Polish Academy of Sciences (thesis on the strategy of banks in Poland).

He started his professional career in 1998 as a credit analyst in Bank Śląski S.A. From 2001 to 2005, Mr. Artur Sociński worked as an investment and corporate banking expert, and from 2006 to 2016, he served as a team leader and corporate sales director in corporate banking. From 2017 to 2019, Mr. Artur Sociński was the Deputy Director and Director of the Restructuring and Corporate Governance Office, as well as the Vice President of Shipbuilding Industry at Fundusz Rozwoju Spółek S.A. Currently, he is deputy director of the Financial Services Office in Agencja Rozwoju Przemysłu S.A.

Mr. Artur Sociński served on supervisory boards of private companies in various sectors and has experience in corporate finance and restructuring.

According to the declarations submitted, Mr. Artur Sociński:

  • has full legal capacity, as referred to in Article 18 § 1 of the Commercial Companies Code;

Graduated from the Faculty of Management of the University of Łódź, specialisation: accounting, financial analysis of enterprises; she also passed the exam for supervisory board members in State-owned companies - Minister of Treasury Diploma No. 2262/2007.
